Can Non-Residents Own a Swiss Company?

Yes — there is no restriction on foreign nationals owning a Swiss GmbH or AG. Switzerland welcomes foreign ownership. However, there are specific operational requirements you must satisfy.

The Swiss-Resident Requirement

For a GmbH, at least one manager must be domiciled in Switzerland with signatory authority. This is where professional domiciliation services become essential for non-resident owners:

  • Resident director service: A licensed Swiss fiduciary acts as a "managing director" on your behalf, providing the necessary Swiss domicile
  • Signatory authority: Typically "dual signature" — fiduciary + you sign together, ensuring no unilateral action
  • Legal responsibility: The fiduciary takes on certain legal obligations — fees reflect this responsibility

Substance Requirements

Tax treaties and Swiss regulatory expectations require that your Swiss company has genuine substance — not just a mailbox. Minimum substance includes: Swiss bank account, real registered address, a functional director, and actual business activities or management decisions made in Switzerland.
